Cleaning Business vs Independent Cleaner: Which Registration Path Fits You?
"Freelancer" and "business" are useful everyday descriptions, but they do not answer every legal or tax question. A person working alone can still be self-employed and operating a business. A registered business name also does not automatically turn every worker into an independent contractor.
Choose a structure based on how you really operate, who owns the activity, whether you hire people, and what liability and administration you can manage.
Path 1: Self-employed individual using their own name
This may fit a person who personally accepts and performs cleaning jobs without building a separate brand or company. However, working alone does not automatically remove tax or local-registration obligations.
BIR Form 1901 expressly covers self-employed individuals, including single proprietors and professionals. BIR's current registration channels and documentary requirements should be checked before commencing business. See BIR Form 1901 and BIR's NewBizReg portal.
Ask BIR and your LGU how your exact activity and address should be registered. Requirements can differ when you have a fixed shop or office, use your residence as the business address, hire workers, or operate across cities.
Path 2: Sole proprietorship with a business name
This often fits one owner who wants to trade under a name such as "ABC Condo Cleaning" rather than only their personal name.
DTI's Business Name Registration System is for sole proprietors. Registration gives the business name a legal identity, but DTI clearly says it does not by itself authorize the business to operate. The owner must still address Business or Mayor's Permit, BIR registration, and other applicable requirements. Use the official DTI BNRS and read the BNRS FAQ.
A sole proprietorship is not a separate corporation. The owner should understand personal liability and obtain professional advice where needed.
Path 3: Partnership or corporation
This may fit two or more founders, a growing team, investors, or an operation that wants a separate juridical structure. A One Person Corporation may also be relevant to a single founder who wants a corporate form, subject to legal and administrative requirements.
Partnerships and corporations are registered through the Securities and Exchange Commission, not DTI's sole-proprietor BNRS. SEC's eSPARC supports domestic corporation and partnership registration processes, including OneSEC routes for eligible applications.
A corporation brings continuing records, filings, governance, and compliance duties. Do not choose it only because the word sounds more credible. Compare setup and maintenance costs with your real scale and risk, ideally with an accountant or lawyer.
Employment relationship vs independent service
If one household engages and controls a person's domestic work within an employment relationship, the arrangement may fall under the Domestic Workers Act regardless of a "freelancer" label. Republic Act No. 10361 defines a kasambahay in employment terms and sets rights and obligations for domestic work. Read the official law.
Likewise, calling a team member a "partner" or "contractor" does not settle their true employment status. Control, working arrangements, and the actual relationship matter. Get legal advice if your model is unclear.
Registration is a stack, not one certificate
Depending on the structure and activity, a legitimate operation may need to consider:
- DTI business-name registration for a sole proprietorship, or SEC registration for a partnership or corporation;
- Barangay and LGU clearances and Business or Mayor's Permit;
- BIR taxpayer and business registration, invoicing, books, filing, and payment obligations;
- Employer registrations and labour compliance if hiring workers;
- building, subdivision, or condominium access requirements; and
- activity-specific permits, safety measures, or insurance where applicable.
Republic Act No. 11032 addresses streamlined government services and local business-related clearances, but it does not mean every business has identical requirements. Check your city's current official checklist. See the Ease of Doing Business Act.
A simple decision guide
You personally perform occasional or recurring jobs under your own name: start by confirming self-employed registration and LGU requirements with BIR and the relevant city.
You are one owner building a named cleaning brand: investigate DTI sole-proprietorship registration plus BIR and LGU permits.
You have co-owners or want a corporate legal structure: compare SEC partnership, corporation, or eligible One Person Corporation routes.
You are being engaged and controlled as household staff: do not assume a freelancer label removes kasambahay or employment protections.
